A Board of Directors has been elected by the shareholders to oversee the business of the Company.  Shareholders may be appointed as Directors. Other Directors, who are not Shareholders, may also be appointed.

The Board of Directors

Directors are appointed and re-elected annually at an Annual General Meeting of all the Shareholders.  The Board of Directors is responsible for presenting the audited Annual Accounts to the AGM, which must agree them.

The Board of Directors is responsible for deciding how any profits are to be distributed given the community interest purpose of the Company. It may also decide to issue a dividend to its shareholders.

The Board of Directors is also responsible for appointing a Managing Director who is responsible for running the Company on a day-to-day basis. The MD need not be a Shareholder. The Board of Directors decides how the MD will be remunerated, whether by salary, gratuity or dividend.

The Board of Directors also appoints a Secretary from amongst its number. The Secretary is responsible for keeping in good order the records of the Company, in particular the decisions of the Board of Directors.

The Advisory Council

The Advisory Council has been established by decision of the Board of Directors. Members of the Advisory Council are supporters of ASPEL ‘s objects and their experience and expertise ensures that ASPEL’s Board is provided with the best advice on all matters relating to ASPEL’s Objects, in particular its overall strategic direction, the marketing and promotion of the Company, the development and delivery of its services, and how the community interest purpose can best be fulfilled.
